Purpose/Introduction

The Legal department provides advice and counsel on a range of issues that span legal, regulatory, and company policy on topics that cut across various “Corporate” functions and/or “Staff” departments within CPChem, such as HR, EHSS, Finance, Real Estate, Corporate Secretary (CSO), and Ethics & Compliance (E&C).  Attorney roles within the Legal-Corporate function include responsibility for designing, implementing, updating and generally overseeing programs, policies, and practices that support the function, such as the E&C Program and the CSO Office (which is responsible for administering the Company’s periodic Board meetings).  The EHSS and HR legal roles support the respective Staff function, which includes monitoring legal and regulatory developments, and advice and counsel on the application of the law, regulations, or internal policies to unique factual scenarios that arise in the normal day-to-day course of work.

Chevron Phillips Chemical (CPChem) is seeking qualified candidates with relevant experience and a passion for helping clients achieve business objectives to serve as Assistant General Counsel, EHSS & Manufacturing.  The position is based in CPChem’s headquarters in The Woodlands, Texas, and reports to the Deputy General Counsel-Corporate. CPChem’s Legal & Public Affairs Department is comprised of approximately 60 professionals responsible for managing legal, communications, and government affairs activities across CPChem’s global operations.

Responsibilities

This is a senior position that involves regular interaction with CPChem’s executive management across the enterprise and requires the ability to work with considerable autonomy. This group has responsibility for CPChem’s commercial manufacturing work and EHSS legal function, including primary or counseling support in a broad range of substantive areas: (1) crisis response and management; (2) personal and process safety management issues; (3) environmental matters such as air, waste, water, and remediation; (4) general commercial support for domestic manufacturing and procurement; (5) product stewardship; and (6) chemical / manufacturing security (to include CFATS). The position will lead department staff supporting the SVPs of EHSS and Manufacturing and their organizations, currently including three lawyers and one paralegal / contract administrator as direct reports.

The position will also be responsible for supporting strategic initiatives, which includes a wide range of activities related to manufacturing improvement / growth projects, sustainability / climate risk, deep involvement in global policy and advocacy development on topics related to EHSS, Manufacturing, risk management, compliance counseling, client training programs, strategic procurement practices / processes, and working directly and extensively with  EHSS and Manufacturing clients in CPChem’s facilities. This trusted advisor role is relied upon to provide seasoned leadership, direction, and support across other functional areas in the department while also being directly accountable for developing these skill sets in other members of the Legal team.

Candidates must demonstrate the skills and judgment necessary for professional interaction with operations personnel at a variety of levels within CPChem and government officials related to regulatory compliance and enforcement activities. This AGC will advise executives and other clients with confidence regarding high profile EHSS and Manufacturing matters, including negotiation of complex commercial agreements and EHSS enforcement matters, and to otherwise provide prompt, seasoned advice on critical legal and strategic issues, including Environmental, Social, and Governance (ESG), sustainability, and climate change. These skills are required in all cases without extensive supervision.  The successful candidate must consistently demonstrate teamwork, cross-functional collaboration, and be a positive opinion leader in a dynamic environment that may include periods of high-stress and high-demand.

 

Note:  Due to the varied nature of travel and direct engagement associated with the requirements of this position, Covid-19 vaccination is required.

Required Qualifications

  • JD from a nationally accredited law school with a strong academic background
  • Admission to practice before a U.S. state bar, preferably Texas (Note: Admission to State Bar of Texas will be required after reasonable period of time)
  • Minimum of 15 years of experience in a large corporate legal department or in private practice with relevant project, supervisory, and administrative responsibility
  • EHSS experience, with substantial depth in one or more of the following topic areas: process safety, personal safety, incident / crisis response, sustainability / ESG, risk management, air, waste, water, and product stewardship
  • Experience in strategically navigating and negotiating to resolution complex, contested regulatory proceedings and/or EHSS-related compliance issues, including with agencies such as OSHA, TCEQ, and EPA
  • Experience in commercial contracting in a manufacturing setting such as petrochemical, energy midstream, refining, or other process safety covered manufacturing operations
  • Highly effective at distilling and explaining complex legal issues to personnel at all levels of the organization, including technical and non-technical stakeholders
  • Strong performer in high volume periods involving multiple client relationships, governmental touch-points, projects, and direct reports
  • Sound, appropriate risk-based judgement and decision-making, including in ambiguous situations
  • Robust aptitude for visualizing, planning, and executing on worldwide strategies relating to all manner of EHSS and manufacturing activities (current and emerging) in an evolving regulatory and external stakeholder environment
  • Consistently exhibits strong work ethic and highest ethical standards
  • Strong and persuasive communication skills and demonstrated experience advising management-level personnel on complex matters, including prudent legal practices specifically related to manufacturing commercial, dispute resolution, and regulatory compliance matters
  • General proficiency in Microsoft Word, Excel, Outlook, PowerPoint, and remote- / collaborative-work platforms

Preferred Qualifications

  • Experience working in the petrochemical, oil and gas or energy industries.
